1.Introduction

1.1.This website can be accessed at www.ver-tex.co.za, related mobi-sites and software applications (the "Website") and is owned and operated by Ver-Tex Solutions (Proprietary) Limited ("VTS", "we", "us" and "our").

1.2.These Website Terms and Conditions ("Terms and Conditions") govern the Acknowledgment of Debt, the payment and settlement towards the debt by an individual owing the debt to a credit provider.

1.3.These Terms and Conditions are binding and enforceable against every person that accesses or uses this Website ("you", "your" or "user"), including without limitation each user who registers as contemplated below ("registered user"). By using the Website and by clicking on the "Register Now" button on the Website, as may be applicable, you acknowledge that you have read and agree to be bound by these Terms and Conditions.

1.4.The Website enables you to access your account, download a statement of your account, acknowledge the debt and or make a payment arrangement to the settlement of the debt through different payment options available on the website.

2.2.If there is any provision in these Terms and Conditions that you do not understand, it is your responsibility to ask Ver-Tex Solutions to explain it to you before you accept the Terms and Conditions or continue using the Website.

2.3.Ver-Tex Solutions permits the use of this Website subject to the Terms and Conditions. By using this Website in any way, you shall be deemed to have accepted all the Terms and Conditions unconditionally. You must not use this Website if you do not agree to the Terms and Conditions.

3.6.You may not use the Website to distribute material which is defamatory, offensive, contains or amounts to hate speech or is otherwise unlawful.

3.7.You may not in any way display, publish, copy, print, post or otherwise use the Website and/or the information contained therein without the express prior written consent of an authorised Ver-Tex Solutions representative.

4. Payment of your account

4.1.We are committed to providing secure online payment facilities. All transactions are encrypted using appropriate encryption technology.

4.2.Payment of your account can be made via:

4.2.2.credit card: where payment is made by credit card, we may require additional information in order to authorise and/or verify the validity of payment. In such cases we are entitled to withhold delivery until such time as the additional information is received by us and authorisation is obtained by us for the amounts. If we do not receive authorisation your payment will be cancelled. You warrant that you are fully authorised to use the credit card supplied for purposes of making the payment. You also warrant that your credit card has sufficient available funds to cover all the costs incurred as a result of the payment and or settlement of the account/s on the Website;

5.1.We respect your privacy and will take reasonable measures to protect it, as more fully detailed below.

5.8.Ver-Tex Solutions undertakes never to sell or make your personal information available to any third party other than as provided for in this policy, unless we are compelled to do so by law. In particular, in the event of a fraudulent online payment, Ver-Tex Solutions is entitled to disclose relevant personal information for criminal investigation purposes or in line with any other legal obligation for disclosure of the personal information which may be required of it.

5.9.Whilst we will do all things reasonably necessary to protect your rights of privacy, we cannot guarantee or accept any liability whatsoever for unauthorised or unlawful disclosures of your personal information, whilst in our possession, made by third parties who are not subject to our control, unless such disclosure is as a result of our gross negligence.

6.1.Ver-Tex Solutions may, in its sole discretion, change any of these Terms and Conditions at any time. It is your responsibility to regularly check these Terms and Conditions and make sure that you are satisfied with the changes.

6.2.Any such change will only apply to your use of this Website after the change is displayed on the Website. If you use the Website after such amended Terms and Conditions have been displayed on the Website, you will be deemed to have accepted such changes.

10.2.Notwithstanding the fact that the Website may refer to or provide links to Third Party Websites, your use of such Third Party Websites is entirely at your own risk and we are not responsible for any loss, expense, claim or damage, whether direct, indirect or consequential, arising from your use of such Third Party Websites or your reliance on any information contained thereon.

11. Limitation of liability

11.1.Ver-Tex Solutions cannot be held liable for any inaccurate information published on the Website, save where such liability arises from the gross negligence or wilful misconduct of Ver-Tex Solutions, its employees, agents or authorised representatives. You are encouraged to contact us to report any possible malfunctions or errors.

11.2.You hereby indemnify Ver-Tex Solutions against any loss, claim or damage which may be suffered by yourself or any third party arising in any way from your use of this website and/or any linked website.

12. Availability and termination

12.1.We will use reasonable endeavours to maintain the availability of the Website, except during scheduled maintenance periods, and are entitled to discontinue providing the Website or any part thereof with or without notice to you.

12.2.Ver-Tex Solutions may in its sole discretion terminate, suspend and modify this Website, with or without notice to you. You agree that Ver-Tex Solutions will not be liable to you in the event that it chooses to suspend, modify or terminate this Website other than for processing any orders made by you prior to such time, to the extent possible.

12.3.If you fail to comply with your obligations under these Terms and Conditions, including any incident involving payment towards the settlement of your account, this may (in our sole discretion with or without notice to you) lead to a suspension and/or termination of your access to the Website without any prejudice to any claims for damages or otherwise that we may have against you.

13. Governing law and jurisdiction

13.1.These Terms and Conditions and our relationship and/or any dispute arising from or in connection with these Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa.

13.2.Nothing in this clause 14 or the Terms and Conditions limits your right to approach the Council of Debt Collectors or Association or Debt Recovery Agents (ADRA).

14. Notices

14.1.Ver-Tex Solutions hereby selects Leopard Court Building, 74 Jerome Street, Lynnwood Glen, Pretoria, as its address for the service of all formal notices and legal processes in connection with these Terms and Conditions ("legal address"). Ver-Tex Solutions may change this address from time to time by updating these Terms and Conditions.

14.2.Notices must be sent either by hand, prepaid registered post, telefax or email and must be in English. All notices sent – 15.1 by hand will be deemed to have been received on the date of delivery;

14.3.by prepaid registered post, will be deemed to have been received 10 days after the date of posting;

14.4.by telefax before 16h30 on a business day will be deemed to have been received, on the date of successful transmission of the telefax. All telefaxes sent after 16h30 or on a day which is not a business day will be deemed to have been received on the following business day; and

14.5.by email will be deemed to have been on the date indicated in the "Read Receipt" notification. All email communication between you and us must make use of the "Read Receipt" function to serve as proof that an email has been received

15. General

15.1.Ver-Tex Solutions may, in its sole discretion, at any time and for any reason and without prior written notice, suspend or terminate the operation of the Website or the user’s right to use the Website or any of its contents subject to us processing any orders then already made by you

15.2.If any term or condition contained herein is declared invalid, the remaining terms and conditions will remain in full force and effect.

15.3.No variation, addition, deletion, or agreed cancellation of the Terms and Conditions will be of any force or effect unless in writing and accepted by or on behalf of the parties hereto.

15.4.No indulgence, extension of time, relaxation or latitude which any party (the "grantor") may show grant or allow to the other (the "grantee") shall constitute a waiver by the grantor of any of the grantor’s rights and the grantor shall not thereby be prejudiced or stopped from exercising any of its rights against the grantee which may have arisen in the past or which might arise in the future.

15.5.These Terms and Conditions contain the whole agreement between you and Ver-Tex Solutions and no other warranty or undertaking is valid, unless contained in this document between the parties.

When we do one or more of these actions with your Personal Information, we are "Processing" your personal information. "Personal Information" refers to private information about an identifiable person (which includes natural persons as well as juristic persons, such as companies or trusts).
Personal information does not include information that does not identify a person (including in instances where that information has been de-identified). We may process different kinds of personal data about you which we have grouped together as follows:
  • Identity Data, which includes information concerning your name, username or similar identifier, marital status, title, date of birth, gender, and legal status.
  • Contact Data, which includes billing addresses, delivery addresses, email addresses and telephone numbers.
  • Transaction Data from our client, the credit provider, which includes details about payments from you.

3. How we collect your Personal Information

We collect your personal information in three ways, namely:
  • through direct or active interactions with you, and
  • from third parties.

Direct or active collection from you
We may require you to submit certain information in order for you to access certain portions of the Website and to enable us to provide certain services to you (e.g. providing further requested information, applying for a vacancy etc.) or to conclude an agreement with us, or to fulfil our statutory obligations. We also collect information directly from you when you communicate directly with us, for example via e-mail and telephone calls. If you contact us, we will update our system and keep a record of that correspondence.   • to provide our collection of debt services to our client;
  • to comply with our statutory obligations, as well as interacting with regulatory authorities;
  • to conduct business case analysis;
  • to conduct Ver-Tex’s recruitment exercises, including referrals, and hiring processes, including the capturing of a job applicant's details and the providing of status updates to such a job applicant. In this context Ver-Tex will conduct criminal record and credit checks;
  • to retain and make information available to you on the Website;
  • maintain and update our customer databases;
  • to establish and verify your identity on the Website;
  • diagnose and deal with technical issues, customer support queries and other user queries;
  • operate, administer, maintain, secure and develop the Website and the performance and functionality of the Website;
  • to protect our rights in any litigation;
  • detect, prevent or deal with actual or alleged fraud, security or the abuse, misuse or unauthorised use of the Website and/or contravention of this Privacy Notice or any of the terms and conditions that apply to the use of the Website;
  • communicate with you and keep a record of our communications with you and your communications with us;

  • to our employees, service providers and agents if and to the extent that they need to know the information in order to provide the services for or to us for which they have been appointed. We will authorise any information processing done by a third party on our behalf, amongst other things by entering into written agreements with those third parties governing our relationship with them and containing confidentiality and non-disclosure provisions;
  • We use the term “cookies” to refer to cookies and other similar technologies covered by the POPI Act on privacy in electronic communications.


6. How long we store Personal Information

Personal information is held only as long as is necessary to provide the services to you or our client or as may be required in terms of legislation (including prescription periods), business requirements and whichever period is the longest. The details of this is available on request to the Ver-Tex Information Officer in the form of the Ver-Tex Data Retention Notice.
Personal information that you provide to us will be stored electronically on our servers, as well as in hard copy format (at times), with reasonable organisation and technical safeguards in place to protect this personal information.
We may keep and process some or all of your personal information if and for as long as:
  • we are required or permitted by law or a contract with you to keep it;
  • we reasonably need it for lawful purposes related to our functions and activities;
  • we reasonably need it for evidentiary purposes; or
  • you agree to us keeping it for a specified further period.

To determine the appropriate retention period for personal information, Ver-Tex will consider, among other things, the quantity, nature and sensitivity of the personal information, the potential risk of harm from unauthorised use or disclosure of your personal information, the purposes for which we process your personal information and whether we can achieve those purposes through other means.

7. Personal Information Security

We are legally obliged to provide adequate protection for the Personal Information we hold and to stop unauthorised access and use of personal information. We will, on an on-going basis, continue to review our security controls and related processes to ensure that your Personal Information is secure.

  • Secure communications;

You have the right to request a copy of the Personal Information we hold about you. We will take all reasonable steps to confirm your identity before providing details of your personal information.
Please note that any such access request may be subject to a payment of a legally allowable fee, as laid down in our POPI Act Policy.

9. Correction of your Personal Information

You have the right to ask us to update, correct or delete your personal information. We will take all reasonable steps to confirm your identity before making changes to Personal Information we may hold about you. We would appreciate it if you would take the necessary steps to keep your Personal Information accurate and up-to-date by notifying us of any changes we need to be aware of.

According to the POPI Act ‘‘Personal Information’’ means information relating to an identifiable, living, natural person, and where it is applicable, an identifiable, existing juristic person.
